Distancer.ai
Effective Date: April 10, 2026
Operator: Digitsy Inc. (“we,” “us,” or “Distancer.ai”), a California corporation with its principal place of business at 21010 Anza Ave #28, Torrance, California 90503.
By accessing or using Distancer.ai (the “Platform”), creating a Business Project, or purchasing from any Business Project, you agree to these Terms of Service. If you do not agree, you must not use the Platform.
Plain-language summary (non-binding): These Terms govern our AI-powered service. Business Owners (U.S. entities or organizations only) build and publish online/in-person businesses; Customers (anywhere permitted by law) buy from them. You can start free in the sandbox; production requires a subscription and Stripe identity verification. We own the platform; you own your final business and purchases (subject to licenses). We constantly add new business types and features. We provide only web-hosting and platform services — you are solely responsible for all professional licensing and legal compliance.
1. Definitions
- Business Owner: A United States entity (corporation, LLC, partnership, sole proprietorship, or other organization organized under the laws of a U.S. state with its principal place of business and operations in the United States) that creates and operates a Business Project, whether through an individual or Organization Account.
- Customer: Any individual or entity (located anywhere permitted by applicable law), whether acting personally or through an Organization Account, who purchases goods, services, subscriptions, or licenses from a Business Project.
- Business Project: An online and/or in-person business presence that can be built and/or modified automatically by our AI and/or manually by the Business Owner, including (but not limited to) storefront, payment processing, in-person and online services, remote video calls, inventory management, a computer App Store for app license management, organization user and user permission management, related tools, and any other parts, tools, features, or services that Digitsy Inc. may add or develop from time to time as part of our ongoing expansion of the Platform.
- Sandbox Environment: The free testing environment where Business Projects can be built and tested without being visible or available to the public.
- Production Environment: The live, public-facing version of a Business Project.
- Organization Account: An Account registered on behalf of a corporation, LLC, partnership, or other legal entity.
- Materials: Any content, products, images, text, data, or settings you upload or provide.
- Service: The Platform, all AI tools, hosting, payments, sandbox/production environments, and features we provide (including future updates).
2. Eligibility and Roles
2.1 Business Owners
You must be a United States entity (corporation, LLC, partnership, sole proprietorship, or other organization organized under the laws of a U.S. state with its principal place of business and operations in the United States) that creates and operates a Business Project, whether through an individual or Organization Account. Business Owners must not be foreign entities or have principal operations outside the United States. When registering an Organization Account, the individual registering must have authority to bind the Organization and must provide accurate entity details. You (or your authorized representative) must be at least 18 years old (or the age of majority in your jurisdiction).
2.2 Customers
Customers may purchase from any Business Project with or without an Account. Customers may act personally or through an Organization Account. You must comply with all laws in your jurisdiction. We are not a party to any sale between Business Owner and Customer.
2.3 Accounts
Business Owners must register with accurate information (legal name or entity name, U.S. business address, phone, email, and, for organizations, proof of authority). You are responsible for account security and all actions taken under your Account (including by staff or authorized users). Organization Accounts support user and permission management as part of the Business Project features.
3. Our Service and AI Features
We provide an AI platform that converts your ideas into fully operational Business Projects that can include in-person services, online services, remote video calls, inventory management, a computer App Store for app license management, organization user and user permission management, and other capabilities.
Platform Services Only. Distancer.ai, operated by Digitsy Inc., provides only web-hosting, platform infrastructure, payment facilitation (via third-party processors such as Stripe), AI generation tools, and related technical services. We are not a professional services firm, law firm, accounting firm, regulatory advisor, or provider of any regulated services. We are not responsible for any professional licensing, permits, certifications, insurance, zoning compliance, tax obligations (beyond collection mechanics we facilitate), or any other legal, regulatory, or business requirements applicable to your Business Project. Business Owners are solely responsible for obtaining and maintaining all such authorizations and for ensuring full compliance with all applicable laws.
We are constantly working on new types of businesses covered by the system and may introduce updates, new features, or changes to the Service at any time without prior notice. All such updates are automatically subject to these Terms.
We handle hosting, payments (via third-party providers such as Stripe), and verifications. You may start building in the free Sandbox Environment. Publishing to the Production Environment requires a subscription and identity verification.
AI Disclaimer: AI outputs are based on your inputs and general data. We do not guarantee accuracy, legality, profitability, suitability, or compliance with any specific laws, including professional licensing or regulatory requirements. You are solely responsible for reviewing, editing, testing in the sandbox, and operating your Business Project.
4. Your Responsibilities
Business Owners
- Comply with all U.S. federal, state, and local laws (including sales tax collection, consumer protection, and any laws governing in-person services or remote video calls).
- Obtain and maintain all necessary professional licenses, permits, certifications, insurance, and authorizations required by law for your Business Project and any goods or services offered (including those involving in-person services or remote video calls).
- Provide accurate public contact information, refund/shipping policies (if applicable), terms of service, and privacy notices on your Business Project.
- You are the seller of record for all sales; we are not a marketplace.
- Handle all customer service, refunds, returns, disputes, and user/permission management within your Organization Account.
- Complete Stripe identity verification (KYC/AML) as required by Stripe before publishing to production.
- Pay all applicable taxes on your use of the Service.
Customers
- Provide accurate payment and shipping information.
- Comply with the Business Owner’s terms for each purchase (including any in-person or remote service terms).
- You have no direct contractual relationship with us for purchases.
Both roles must not: (a) use the Platform for illegal purposes; (b) reverse-engineer the AI; (c) upload infringing or harmful Materials; or (d) misuse organization user/permission features.
5. Fees and Payments
Business Owners may start for free in the Sandbox Environment. To publish any Business Project to the Production Environment, you must:
- Subscribe to a paid plan (Subscription Fees billed monthly in advance), and
- Complete identity verification with Stripe according to Stripe’s rules and requirements.
Transaction fees (if any) and Additional Fees are disclosed in your dashboard and charged by the payment processor. All fees are in U.S. dollars. You must maintain a valid payment method. No refunds for partial periods unless required by law.
You are solely responsible for all sales taxes, VAT, or similar taxes arising from your Business Project.
6. Intellectual Property
- You retain ownership of your Materials and the final Business Project (including custom configurations, inventory data, and app licenses).
- We own the platform code, the computer App Store infrastructure, and any AI technology or models developed by Digitsy Inc. We license AI models and technology from third-party providers as needed to provide the Service; such third-party models and technology remain the property of their respective owners.
- You grant us a perpetual, worldwide, royalty-free, non-exclusive, irrevocable license to use, host, reproduce, modify (including for anonymization), display, and distribute your Materials and Business Project data (anonymized where required by law) solely to operate, improve, train our AI, market the Platform, and provide the Service.
- We respect third-party IP; report infringements to support@distancer.ai.
7. Termination and Suspension
- Business Owners may cancel a subscription at any time via account settings (effective at the end of the billing period). Sandbox access remains free until terminated.
- We may suspend or terminate any Account immediately for violation of these Terms, failure to complete Stripe verification, fraud, or legal requirement.
- Upon termination, access ends; you remain responsible for outstanding fees and taxes. Data export options may be provided for 30 days.
8. Disclaimers and Limitation of Liability
THE SERVICE, AI OUTPUTS, SANDBOX, AND PRODUCTION ENVIRONMENT ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY OR FITNESS FOR PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU (FOR ANY CLAIM) SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF YOU USED ONLY THE FREE SANDBOX). WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOST PROFITS, OR AI ERRORS.
9. Indemnification
You agree to indemnify and hold us harmless from any claims arising from: (a) your Business Project or Materials; (b) your sales to Customers (including in-person or remote services); (c) your breach of these Terms; (d) any Customer dispute; or (e) your Organization Account users’ actions.
10. Modifications
We may update these Terms or the Service (including new business types or features) at any time. We will provide notice via email or Platform banner. Continued use after notice constitutes acceptance.
11. Governing Law and Dispute Resolution
These Terms are governed by California law without regard to conflict-of-laws rules. Any dispute shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You waive jury trial rights.
12. General Provisions
- These Terms constitute the entire agreement.
- Our Privacy Policy (available at https://www.distancer.ai/policy/privacy/ or as otherwise provided on the Platform) is incorporated into these Terms by reference.
- If any provision is invalid, the remainder remains enforceable.
- We may assign these Terms; you may not without our consent.
- Force majeure events excuse performance.
- Notices to you will be sent to your registered email; notices to us must be sent to support@distancer.ai or the address below.
